Terms of Service

1. Acceptance of Terms

By accessing or using DreamAlign software, services, or this website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Dream3D, Inc. ("Dream3D", "we", "us", or "our").

2. Description of Service

DreamAlign is a dental laboratory software platform that provides AI-assisted dental model analysis, processing, and alignment tools. The Service is intended for use by licensed dental professionals and accredited dental laboratories only.

3. License Grant

Subject to your compliance with these Terms and timely payment of applicable fees, Dream3D grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the DreamAlign software on devices you own or control.
  • Access and use the Service solely for your internal dental laboratory operations.
  • Process dental models and patient data in accordance with applicable laws and regulations.

You may not sublicense, sell, resell, transfer, assign, or otherwise exploit the Service.

4. Subscription and Payment

Access to certain features of the Service requires a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as expressly provided in these Terms or required by applicable law. Dream3D reserves the right to change pricing with 30 days' notice.

5. User Responsibilities

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activity that occurs under your account.
  • Ensuring that your use of the Service complies with all applicable laws, including HIPAA and other healthcare data privacy regulations.
  • Obtaining all necessary consents from patients before uploading or processing patient data.
  • The accuracy of dental models and clinical decisions made using output from the Service.

6. Prohibited Uses

You agree not to:

  • Reverse engineer, decompile, or disassemble any portion of the Service.
  • Use the Service to process data for any third party without their consent.
  • Attempt to gain unauthorized access to Dream3D systems or other users' accounts.
  • Use the Service for any unlawful purpose or in violation of any regulations.
  • Upload malicious code, viruses, or any content that could harm Dream3D or its users.

7. Intellectual Property

All intellectual property rights in the Service, including software, algorithms, documentation, and visual design, are owned by Dream3D or its licensors. Nothing in these Terms transfers any ownership rights to you. You retain ownership of the dental model data you upload; by using the Service, you grant Dream3D a limited license to process that data solely to provide the Service to you.

8. Data Privacy

Your use of the Service is also governed by our Privacy Policy. Dream3D processes personal and patient data in accordance with applicable privacy laws. As a dental professional, you are responsible for ensuring your use of the Service complies with HIPAA and any other applicable health data regulations in your jurisdiction.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DREAM3D DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL CLINICAL JUDGMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DREAM3D SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF DREAM3D HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DREAM3D'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

Dream3D may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your license to use the Service immediately ceases. Sections 7, 9, 10, and 12 survive any termination.

12. Governing Law

These Terms are governed by the laws of the State of TX, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Williamson, TX.

13. Changes to These Terms

Dream3D may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
